Terms of Service

Please read these Terms of Service ("Terms") carefully before using NoteScribe. By accessing or using NoteScribe, you agree to be bound by these Terms.

1. Introduction & Acceptance

NoteScribe ("we", "us", "our") provides an AI-powered transcription and meeting intelligence service. By creating an account or using our service, you accept these Terms and our Privacy Policy. If you do not agree, do not use NoteScribe.

2. Account Registration

To use NoteScribe you must:

• Provide accurate, current information when creating your account

• Keep your account credentials secure and confidential

• Notify us immediately of any unauthorized access to your account

• Be at least 16 years of age

You are responsible for all activity that occurs under your account.

3. Permitted Use

NoteScribe may be used for:

• Transcribing and summarizing audio recordings where you have the legal right to record

• Personal note-taking, business meetings, research interviews, and similar purposes

• Sharing transcripts with collaborators within your account or via share links

4. Prohibited Use

You may not use NoteScribe to:

• Record or transcribe conversations without the required consent of all participants (as required by applicable law)

• Process content that is illegal, defamatory, obscene, or infringes third-party intellectual property rights

• Attempt to circumvent rate limits, security measures, or access controls

• Scrape, reverse-engineer, or systematically extract data from the platform

• Use the service to train competing AI models or products

• Harass, threaten, or harm other users

• Share account credentials to circumvent per-user licensing

• Use automated tools or scripts to generate excessive transcription volume beyond normal human usage patterns

• Resell, redistribute, or sublicense your subscription or any output generated by NoteScribe without our written permission

Violations may result in immediate account suspension or termination.

5. Audio Content & Recording Consent

By uploading audio to NoteScribe, you represent and warrant that:

• You own the content or have the legal right to record and process it

• You have obtained any legally required consent from all recorded parties

• The content does not violate any applicable law

NoteScribe is not responsible for your compliance with local recording consent laws. It is your sole responsibility to obtain the necessary permissions before recording any conversation.

6. AI-Generated Content

Transcripts, summaries, and alerts generated by NoteScribe are produced by AI and may contain errors, omissions, or inaccuracies. NoteScribe:

• Does not guarantee the accuracy of AI-generated content, including alerts and action items

• Is not liable for decisions made based on AI-generated transcripts, summaries, or alerts

• Recommends reviewing all AI-generated content before relying on it for important purposes

7. Shared Recordings

You may share recordings with others via a secure share link. When sharing:

• You are responsible for ensuring the shared content does not violate the rights of any recorded party

• Recipients can view the transcript and summary but cannot edit or generate new content

• Recipients are bound by these Terms when accessing shared content

• You can revoke share access at any time, which immediately invalidates the link

8. Blog & Editor Role

NoteScribe operates a public blog available at /blog. Blog content is created by authorized editors with the "Editor" role.

If you are an authorized editor, you warrant that all content you publish:

• Is accurate and not misleading

• Does not infringe any copyright, trademark, or other intellectual property right

• Does not contain defamatory, obscene, or unlawful material

• Complies with these Terms and applicable law

NoteScribe reserves the right to edit, remove, or decline to publish any blog content at its sole discretion.

9. Content Moderation & Content Holds

NoteScribe reserves the right to review and moderate content that may violate these Terms. This includes automated detection and manual review by authorized staff.

Content that is flagged may be placed on a content hold:

• A content hold temporarily restricts editing of the affected recording

• You will be notified via a banner on the recording

• An administrator will review the content and either clear the hold or take appropriate action

• Content that violates these Terms may be removed without notice

10. Push Notifications

NoteScribe offers optional push notifications on iOS, Android, web browsers, and the desktop app.

• Push notifications are opt-in and can be disabled at any time in Settings

• You are responsible for managing your device''s notification settings

• NoteScribe is not liable for missed notifications due to device settings, network conditions, or platform limitations

11. Biometric Authentication

NoteScribe supports optional biometric login (Face ID, Touch ID, fingerprint) on compatible devices.

• Biometric authentication is an optional convenience feature

• All biometric processing occurs on your device; NoteScribe never receives or stores biometric data

• NoteScribe is not liable for authentication failures caused by device hardware, OS updates, or biometric system limitations

• You can disable biometric authentication at any time in Settings

12. Desktop Application

The NoteScribe desktop app is available for macOS and Windows.

• The app includes an automatic updater that periodically checks for and installs updates

• By using the desktop app, you consent to automatic updates for security and feature improvements

• The app may access local files only when you explicitly drag and drop them onto the app for upload

• The app uses your operating system''s notification system for alerts; this requires notification permissions granted via your OS settings

13. Session Management

NoteScribe tracks your active device sessions for security purposes.

• You can view and revoke sessions from Settings at any time

• NoteScribe may automatically clean up inactive sessions

• We reserve the right to revoke sessions if we detect suspicious activity or a potential security breach

14. Subscription Plans and Billing

NoteScribe offers the following subscription plans:

Prices are in US dollars (USD). Plan features, pricing, and limits are subject to change with 30 days'' notice to active subscribers. Changes to pricing will not affect your current billing cycle.

Additional minute packs may be purchased as one-time add-ons by Standard and Pro subscribers. Add-on minutes do not expire at the end of the billing cycle but are non-refundable once used.

15. Discount Codes

NoteScribe may offer promotional discount codes from time to time.

• Discount codes are non-transferable and may only be used by the intended recipient

• Codes are validated at the time of purchase and are subject to expiry dates and usage limits

• NoteScribe reserves the right to revoke or invalidate codes that are abused, shared publicly without authorization, or used fraudulently

• Discount codes cannot be combined with other offers unless explicitly stated

16. Auto-Renewal and Cancellation

All paid subscriptions renew automatically at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current rate for your plan at each renewal.

You may cancel your subscription at any time through your account settings or the customer portal. Upon cancellation:

• Your paid features remain active until the end of your current billing period

• You will not be charged for subsequent billing periods

• At the end of your billing period, your account will revert to the Free plan

• Content created during your paid subscription will remain accessible subject to the Free plan''s history retention limits (7 days)

We will send you a reminder email before each renewal.

17. Refund Policy

• First purchase: Full refund available within 7 days of your first subscription purchase, no questions asked. Contact [email protected].

• Subsequent renewals: Refunds are not available for renewal charges. Cancel anytime to prevent future charges.

• Annual subscriptions: 7-day refund window applies to the initial purchase only. No partial refunds after 7 days.

• Add-on purchases: Minute pack add-ons are non-refundable once purchased, unless required by applicable law.

If a refund is issued, your account will be downgraded to the Free plan and any add-on entitlements associated with the refunded payment will be revoked.

18. Payment Processing

All payments are processed securely by DoDo Payments. By subscribing, you agree to DoDo Payments'' terms of service. NoteScribe does not store your full credit card number or payment credentials.

You are responsible for keeping your payment information up to date. If a payment fails, we will attempt to charge your payment method again and notify you by email. Continued payment failure may result in suspension or downgrade to the Free plan.

19. Invoices and Receipts

Invoices and payment receipts are available from Settings under Billing. Receipts are also sent to your email after each successful payment.

20. Data Export

You may export all your data (transcripts, summaries, alerts, recording metadata, and account information) at any time from Settings. Exports are provided in a structured format. NoteScribe will process export requests promptly, but large exports may take time to prepare.

21. Free Tier Terms

The Free plan is provided at no cost and is subject to the usage limits described above. We reserve the right to modify Free plan limits or discontinue the Free plan with 30 days'' notice. Free plan users are not guaranteed any specific level of service availability or support response time.

22. Intellectual Property

NoteScribe platform: All code, design, branding, and content comprising the NoteScribe platform is owned by NoteScribe and protected by intellectual property law. You may not reproduce, modify, or distribute any part of the platform without our express written permission.

Your content: You retain full ownership of your audio files, transcripts, and summaries. By using NoteScribe, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the service to you.

23. Limitation of Liability

To the maximum extent permitted by applicable law:

• NoteScribe is provided "as is" without warranty of any kind

• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of NoteScribe

• Our total liability for any claim arising from these Terms is limited to the amount you paid us in the 12 months prior to the claim

24. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or pose a security risk. You may delete your account at any time from Settings.

Upon termination:

• Your access to the service ends immediately

• Your data will be deleted within 30 days as described in our Privacy Policy

25. Disputes

If you believe a charge is incorrect, please contact us at [email protected] before initiating a dispute with your bank or payment provider. Filing a payment dispute (chargeback) without first contacting us may result in immediate suspension of your account pending investigation.

26. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved in the courts of the applicable jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

27. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via an in-app announcement. Continued use of NoteScribe after the effective date of updated Terms constitutes acceptance.
